These Terms and Conditions (“Terms”) govern the relationship between Circle Digital Marketing Agency (“Circle Digital,” “we,” “us,” or “our”) and you, our valued client (“you,” “your,” or “client”). By engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Introduction

These Terms set forth the guidelines for the provision of services by Circle Digital. By entering into a service agreement or using our services, you agree to comply with the terms outlined here.

2. Scope of Services

Circle Digital offers a comprehensive suite of digital marketing services, including but not limited to:

• Content Creation
• Brand Promotion
• Search Engine Optimization (SEO)
• Web Development
• Social Media Marketing
• Video Production
• Video Editing
• Marketing Strategy Consultation

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and up-to-date information required for us to perform our services effectively.
• Cooperate with our team by responding promptly to requests, feedback, and approvals.
• Approve deliverables in a timely manner before any content is published or distributed.
• Obtain necessary permissions and licenses for any content you provide that will be used in our services.
• Comply with all relevant laws and regulations applicable to your business or content.

4. Intellectual Property Rights

Client’s Property: You retain ownership of any intellectual property you provide to us, including logos, images, or other brand assets.

Circle Digital’s Property: We retain ownership of any intellectual property created by us in the course of providing services to you, unless otherwise agreed in writing. This includes, but is not limited to, marketing strategies, content, software, and other deliverables created by us.

5. Confidentiality

Both Circle Digital and the client agree to maintain the confidentiality of any proprietary or non-public information shared during the course of the engagement. Neither party will disclose any confidential information without the express written consent of the other, except as required by law.

6. Fees and Payment Terms

Fees for services provided by Circle Digital will be specified in the Service Agreement or proposal document. Payment terms, including due dates and accepted payment methods, will be outlined in the agreement. Late payments may incur a penalty or late fee. All payments must be made in accordance with the agreed terms to avoid disruption of services.

7. Termination of Services

Either party may terminate the service agreement for cause upon providing written notice to the other party. In the event of termination, Circle Digital will provide a final report summarizing the work completed up to the termination date, along with any applicable deliverables.

8. Warranties and Representations

We warrant that we possess the necessary skills, experience, and resources to deliver the services outlined in the Service Agreement.

9. Limitation of Liability

In no event will Circle Digital be liable for any indirect, incidental, consequential, or special damages (including lost profits) arising out of or related to the services provided under this agreement. Our total liability to you for any claims related to the services will not exceed the total fees paid by you for those services.
